END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("Agreement") is a legally binding agreement between you ("User," "you," or "your") and Hear Me LLC ("HearMe," "Company," "we," "us," or "our"). This Agreement governs your access to and use of the HearMe mobile application, website located at https://www.hearme.app, and all related services, features, content, and functionality (collectively, the "App" or "Services"). By downloading, accessing, or using the App, you agree to be bound by this Agreement.

1. ELIGIBILITY
You must be at least 18 years of age to use the App. By using the App, you represent and warrant that you meet this requirement.

2. LICENSE GRANT
HearMe grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App strictly for personal, non-commercial purposes, subject to this Agreement. The App is licensed, not sold, to you.

3. RESTRICTIONS AND PROHIBITED USE
You agree not to misuse the App, copy, modify, distribute, sell, reverse engineer, decompile, or otherwise exploit any part of the App, attempt unauthorized access, interfere with system integrity, scrape or extract data, or use the App in violation of applicable law.

4. HEAR ME SERVICES AND LIMITATIONS
HearMe provides a platform that connects users with trained listeners, which may include peer listeners, advanced listeners, and licensed clinicians.

Listeners are not acting as your personal healthcare provider through the App, and interactions are intended for support and informational purposes only.

Licensed clinicians and third-party partners operate independently and are solely responsible for their services, compliance, and professional obligations.

HearMe does not guarantee outcomes and is not responsible for decisions made based on interactions through the App.

If you are experiencing a medical or mental health emergency, call 911 or your local emergency services immediately.

5. PAYMENTS AND SUBSCRIPTIONS
Certain features may require payment. Payments are processed through third-party providers such as Apple App Store, Google Play, or Stripe, and are subject to their terms. HearMe is not responsible for payment processing errors or disputes handled by third parties.

6. USER ACCOUNTS
You are responsible for maintaining the confidentiality of your account credentials and all activities under your account. You agree to provide accurate information and notify HearMe of any unauthorized access.

7. INTELLECTUAL PROPERTY
All content, trademarks, logos, software, and functionality are the exclusive property of HearMe or its licensors and are protected by applicable laws.

8. THIRD-PARTY SERVICES
The App may include integrations or access to third-party services and partners. These providers operate independently of HearMe and are solely responsible for their services, compliance, and privacy practices.

9. PRIVACY
Your use of the App is governed by the HearMe Privacy Policy, which explains how your information is collected, used, and protected.

10. MONITORING AND SAFETY
HearMe may monitor, review, and analyze interactions for quality assurance, safety, training, and compliance purposes in accordance with its Privacy Policy.

11. SERVICE AVAILABILITY
HearMe does not guarantee that the App will always function without interruption, delay, or error, and certain features may be modified, suspended, or discontinued at any time.

12. DISCLAIMERS
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

13. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEARME SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.

14. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless HearMe, its affiliates, officers, employees, and partners from any claims, damages, liabilities, or expenses arising from your use of the App or violation of this Agreement.

15. DISPUTE RESOLUTION AND ARBITRATION
Any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration on an individual basis. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

16. TERMINATION
HearMe may suspend or terminate your access at any time without notice if you violate this Agreement or use the App in a harmful manner.

17. GOVERNING LAW
This Agreement is governed by the laws of the State of Utah, without regard to conflict of law principles.

18. CHANGES TO THIS AGREEMENT
HearMe may update this Agreement from time to time. Continued use of the App after changes constitutes acceptance of the updated Agreement.

19. APP STORE COMPLIANCE
If you access the App through Apple App Store or Google Play, you acknowledge that those platforms are not responsible for the App and have no obligation to provide support or maintenance.
